Nagash is HATED by all the living ( enemy models in base contact have hatred
Daemonic omnipotence ( counts as army battle standard)
Martial honor (must issue and accept all challenges)
The one and only ( Nagash  is the only lord and hero choice you can take)

May take Grave Gaurd as a core choice

Equipment
Black armour
Encrusted with the warp stone crystals confers a 4+ armour save and re roll 1s

The Mortis blade
+2 strength. Magical attacks. each unsaved wound equals D3wounds.
For each unsaved wound, D3 zombies are raised with in 6in of Nagash. As if Raise Dead were cast. Treat any additions to raised unit as if IoN were cast
Raised Units that are destroyed count for VPs

Warp Crystal staff
Successful spells cast by Nagash are copied and may choose different legal targets. This does not copy lore attributes

Death halo
4+ ward save
If nagash is slain or removed for the first time, he is returned to the battle field within 24in on a D6 roll of 2+. Army crumbles 
Nagash's stats and magic level are decreased  by D3 (roll once) Also he can not carry magical items (weapons, staff etc). Roll for spells from the lore of Vampires as you would at the start of the game with a D6. Nagash is now ethereal and only makes magical attacks

The rules actually seem reasonable. I just don't think they capture Nagash as he's been described. I mean, he cast a spell that animated every corpse ever. I feel like he should sit in his castle, plotting his plots, and leave the games to characters that could actually lose.

I'd take the price of a Chaos Lord ( very similar stats), +10 for Terror, +30 for Fly, -25 for being Hated, +25 for being the BSB, -15 for Martial Honor, -25 for "The One and Only". + 5 for his armour, +60 for his weapon, +80 for his staff, +95 for his Halo, and 70 for the Book. Oh, and 155 for being a lvl4.

So that's... 465pts more than a Chaos Lord.

I like it.
Only changes I'd make is have him return at the start of his next remaining moves phase.
I don't like the idea of him dying on your turn, then reappearing just in time to charge into the rear of some key unit.

As for power of spells, lots of fluff has guys (teclis, and slaan) casting world changing spells. We can assume that these simply take days and weeks of prep and can't be done spur of the moment on the battle field.

Does the fluff explain anywhere why Nagash is a giant clown?

I think clowns scare him so he wants to strike fear into others by being a clown. Lol! Kinda like batman but evil. I thought his org head was a joke so it was the first thing i went for. Then the staff. Way too many skulls.
Warp thats a very good point break down. And yes i based his org stats from a demon prince. I like your basis.
Matt i wanted him to return into a friendly unit and every friendly in base contact would be removed from the battlefield kinda like a dark sacrafice. But i just decided to do it kinda like Von carstein ring but better. What you think about the dark sacrafice?

As for fluff/reason hes come back.
A distant evil is becoming more and more powerful (queue lightning strike and thunder) I figured Nagash is in his keep licking warp stones like golem and the ring. However Nagash is not all powerful yet, but he is desperatley trying to regain his former self and glory. In doing so he is motivated by jealousy (warp stone effect) and to preemptivly attack those who are gaining power. So i think its high time for the prince of darkness's return. Hes kinda the lesser of 2 evils. I think his presence is needed to combat the greater evil of chaos. I even think his presence will be tolerated because they need Nagashs power to combat chaos.

@Matt: oh, no doubt. It took Nagash three days or something to pull that off.

I just don't see why a being that could gain neigh-immeasurable power, whether he currently has it or not, would risk himself on the field. He's an awesome warrior and wizard, sure, but far from invulnerable. And he's also a great organizer and leader. Nagash has better things to do than lead legions of undead that total less than 100,000pts.

As for his presence being tolerated, this is Warhammer, the world of uncooperative, petty people who hold grudges and declare wars on each other while daemons chew threw the fabric of reality. Tolerance doesn't seem to be in their collective bag.

You can only sit in our castle and plot for so long. Sooner or later you need to go get groceries. Maybe Nagash needs a component for his next earth shaking spell. His last five minions failed, so he's taking a small force out to go and collect mandrakeroot/nightsoil/tears of an honest man.

I agree I can't see Nagash participating much himself, I mean he didn't even participate in the second battle for Nekehoweveryouspellit he got his vampires to do it for him. You'd thing after dying twice he might retire for a bit...
