If you've got the good opponents then my next priority is good rules.

Insaniak is right that rules and models are not mutually exclusive. However for most games there is such a wide variety of choice of models that the rules are the most important thing.

Fluff is fourth for me. History and literature is so awash with such huge amounts of great source material that I see little need for a game company to build up a detailed background.
