I hate to chime in, I'm sure I'll be shouted out for it, but I can't help it.
I've been playing GW games since 1988 when I was in high school, and I firmly believe that overwatch was one of the worst rules that GW has come up with. Where I used to play when I was in college (when 2nd ed. came out), entire movement phases could be summed up with "Ok, everything's on overwatch."

Wholeheartedly agree.
I found that in Fantasy, the game is determined by 1) army list, and 2) set-up. Screw up either, and you're toast. Very rarely can you turn it around when you're being rolled. Its all based on CR and getting flanks.
40k, in my experience, is based more around match-ups, and even if you're getting hammered, you can pull out a draw through careful gameplay.
40k is just as complex and tactical as Fantasy when you look at the rules, then add in all the codexes, its just not as 'fiddly'.
