Am I reading the rule book when I place an Assault Squad with 2 melts guns and they still have their CCW or does the special weapon replace all?

What does your army list say? It probably states "may replace his bolt pistol for one of the following : "

Ok states the following....
For every five models in the squad, one space marine may replace his bolt pistol with one of the following... Which means still has his CCW with the melta

Yes you can model him with the Chainsword and Meltagun as that is the equipment he is carrying.
