Assuming that an Imperial Guardsman has the following profile:
Confident, Trained
Platoon: Cmd SMG team + 4-10 MG team
Space Marines
Fearless, Super Veteran (Hit on 5+ Skill tests pass on 2+)
Platoon (demi-company) Cmd MG/SMG* team + 2-10 MG/SMG* teams
*May choose which weapon to use.
Special Rules
ATSKNF: Space Marines failing a Platoon motivation check are not destroyed, instead they are Pinned. Space Marines require 10 hits to pin.
Mission Tactics & Stormtrooper (as FoW rulebook).
Power Armour: Space Marines always count as being in bullet proof cover but may never go to ground.
Rhino
Tracked, Armour 6/6/2, Turret mounted machine gun
Any thoughts? Anyone want to add to this?

I've actually been giving this topic a great deal of thought, oddly enough. I really like the way FOW plays, but I really like my 40K miniatures and terrain much more than my FOW stuff. I'd love to figure out a way to play FOW at the 28mm scale using 40K armies. I think I could even get some local people to go for it, and actually get in a game or two.
Some things are pretty easy - for instance the tau pulse rifle just needs a little extra range and a FP of 5+
Other things are not so easy. For instance, armor. It needs to useful in both in assault and in shooting. One solution would be for it to affect your to hit chances by -1,-2 or -3 (equating to a 4+, 3+ and 2+ save - assume that 5+ and 6+ saves are irrelevant) for both close combat and shooting. Of course, you would have take away the effect of skill on being hit then, or hitting SM terminitors would require 7+, base). Also, many 40K troops are MUCH more skillful in close combat than in sneaking around - you would have to give them extra attacks or rerolls, or the like.
The difference in scale would require some adjustments too. 16" is pretty short for basic weapon range of a figure 2" high... So bumping up ranges and movement would be in order. Its also hard to imagine "digging in" 6" away from an opponent in the open in 40K scale.

@ legoburner: No idea, I don't know if anyone even makes 15mm(ish) Space Marine-ish models. The setup would be more my space Marine platoon vs. your whole army than x points for x Space Marines.
@ Kestral: FoW would probably convert well with 40k figures so long as both sides played Imperial Guard.

Ground Zero Games makes loads of 15MM power-armored troops and vehicles. Making a space marine force would be simple. Orks, on the other hand would be tough. Perhaps some of the Orc troops from the Hordes of The Things line would work, but they would be counts-as, since converting at that scale is for loonies.
