Just as the title says I was wondering if this'd be legal, of course the orks couldn't use their sluggas in a fantasy game and need to be based

In good form, you should atleast do something to the ork models so that they don't stick out horribly from one game system to the other. I'd imagine that magnetizing weapon arms for enough orks to go from one game to the other would probably be prohibitively annoying, though.
Mixing parts so that you end up with more feral 40k orks and strange looking fantasy orks might work. You might not even need to rebase if you try using the War of the Rings movement trays, since those are supposed to be set up to accomodate round bases.

The 'counts as' rule is pretty handy, and they are all Citadel models.

Wrong. There is no rule that says, 'if the box doesn't say 40K, then they're no good to play.'
Models are models. Of course, if you take an ork army of the FB table and plop it down on the 40K one, you're going to have significant problems telling units apart and identifying what they're armed with. Modified FB orks, however, are just as acceptable as 40K ones.

Normal gaming anything goes. If you want something "official" they just have to be WYSIWYG weaponwise.

By Normal Circumstances I meant reasonable counts-as and WYSIWYG.
So if you were to show up at a fantasy club or tournament and suddenly go "oh I'm using 40k orks for fantasy ones hurrr" then expect a swift exit.
If in a local group with people you know, and they dont mind, then go nuts.

wysiwyg is pretty standard at most tourneys....
wysiwyg, while it seems practical - isn't - otherwise all modifications would be void.
For example... your 'ranged' orks would carry something like spears or bow and arrow in WFB, but your 'ranged' orks in 40k would carry some kind of 'shoota'
If you define what the ranged weapons are before the battle, there shouldn't be any problem.
The intent of wysiwyg is to ensure your opponent is informed so they aren't suprised by it.
my 2 cents
-EDIT-
Gwar is right in his train of thought... the rules in this game are exclusive, not inclusive. If it doesn't say you CAN then you probably CAN'T....
I mean - there is nothing in the rules that explicitly says I can use 2 different army codices to build 1 army (meaning tyranid+ork, not diff versions of SM)

Please note - terms like 'always/never' are carried with the basic understanding that there are exceptions to the rule, and therefore are used to mean generally...
"I do not play people who blatently exploit the rules to their own benefit, in any game. It is disrespectful to the game designers and other players." |

Personally out of choice I tend to use WHFB parts in WH40k for conversions only.
I wouldnt use a whole "Fantasy Orc" as a mini I too think WYSIWYG can be abused.
Plus proxy minis tend to grate me a bit also.

I use Black Orcs as my Nobs off bikes. I added the apropriate 40k weapons like PK and sluggas, but used the large axes as big choppas. Are you saying I'm not allowed to use these at GW events? The main reason I chose these was because I really like them, plus the're bigger than normal nobs.

1) Someone takes orcs from one system, rebases them, and does some slight modification to weapons. - Sure, np, cool conversions. Nicely done.
2) Someone shows up for a tournament with square based fantasy orcs, no conversions, and wants to run them as orks with guns. - No, please go home. Wrong game. Not fair to the other players, who are following the rules.
3) Same person shows up the next day, looking for a friendly game. NP. I don't want to play you, but if you find someone to get a game in with, go ahead and proxy an army.
4) 2nd time the guy shows up with his fantasy army for a 'proxy game', I sit him down at the painting table, pull out the big box of extra bases, and help him rebase the models. Then we pull out the 'uge box of orky bits, get clippers, and start converting them.

Here is the question you need to consider: is it wysiwyg? are the models orks of approximately appropriate size? is their base correct? weapons? if so then no worries.
edit: the idea here is that one should be able to tell what a model is upon inspection, or at least see when pointed out. WYSIWYG is key when gaming with those whom you don't often get to play with (tourney's etc)

Just because you decide to be defensive, does not mean I am being rude. I simply asked if you had a rule to support your declaration. Since I have asked twice, and you have failed to produce a rule to support you, I will take that to mean you are basing your assertions purely on opinion.... and treat them as such.
Do you have a rule that specifically says you can use 40k orks for fantasy orks? No general "counts as rules" but a specific rule?
Oh no you cant!
The BRB says to play the game with citadel miniatures. The Ork book says to use Citadel miniatures.
Wysiwyg says that the opponent should be able to tell what the model is, and what it has.
So, if I use fantasy orks with swords/axes/etc, and tell my opponent they are slugga boyz.... I have met all of the rules.
Unless you want to actually find a rule that supports your assertions.....

So your saying if I want to use Space Marines as an Elf Army thats ok with you too? I mean,
The BRB says to play the game with citadel miniatures. The Elf book says to use Citadel miniatures.
Wysiwyg says that the opponent should be able to tell what the model is, and what it has.
So, if I use Space Marines with Bolters, and tell my opponent they are Elf Archers.... I have met all of the rules.
See, its easy!

Really, all you would have to do is magnetize the model's feet so that you can switch it between round and square bases.
Oh, and you should probably magnetize the arms so that you could swap the arms. (ie:Slugga for shield and vice versa)
Now do that 200 or so more times....

Nah at that rate, with the cost and labour for all the magnets, you'd just be better off buying the two armies.

Well, if you take buying all of those sluggas/shootas or spears/shields/whatever in to account...you effectively are buying two armies. Just putting a huge amount of unnecessary work into it.
It would take up substantially less storage space though.

Over the years, I have seen several Snakebite armies that use WHFB models. Yes, there is usually some conversion, but they always seem to use arer boys (spelling?) as shoota boys...with only a base change. Bows = shootas for snakebites -it's no big deal.
Slugga choppa boys do need some kind of pistol with their choppas, and Boar boys need some kind of ranged attack to be Bikers.

Using the Fantasy Orcs as 40k Orks isn't really any different than using loyalist marines as Chaos marines. They're both or[c/k]s or marines, except that some weapon options may be incorrect. If you're proposing to use orks on square bases it's obviously wrong for 40k. Why would anyone get all riled up about this?
The original poster is even talking about fixing the bases, and in Fantasy a slugga is just a strangely shaped club. (I'm pretty sure orcs can dualwield in Fantasy, so no problem there either.)
It wouldn't be the prettiest army out there of course, but then again your generic O&G army isn't very theme-specific either.
