In the codex it says : Unless accompanied by a bodyguard he is a independant character. So if he IS accompanied by a bodyguard then he is NOT an independant character?

If he has a retinue, then he may not leave the retinue, or join another squad, until the retinue is dead.

He is not an IC in that the IC rule is lost while the bodyguard is alive. See the retinue rules - essentially acts as an upgrade character so cannot be targetted specifically in close combat, for example.
AS the character is no longer an IC no leaving the unit when you want.

Nope, until the unit dies, then he is.
