The first one. Pz IIIEs are quite a lot better than PzIVDs so I would always go with them and this list has the numbers to absorb the inevitable casualties.
The real issue that this list has is its difficulty in dealing with heavy armour, all you can really do it spend a huge amount of points on artillery or Bunkerflaks (which isn't worth it IMO as they are both very vulnerable), invest in a Stuka Schwerpunkt (which is very hit or miss) or simply ignore which ever objective the Matildas are sitting on (which doesn't work if there are 2 platoons). Its a historical weakness but as heavy tanks are highly likely to make an appearance at tournaments it does limited the effectiveness of EW panzers.
