Am I right in assuming that counter tactics can't be used to ignore the cover given by nightfighting? The rule says that you are treated as having stealth/shrouded, not that you actually gain them. So, counter-tactics couldn't be used to take them away in that case right?

That is correct the model does not have stealth so it can't be taken away.

"Treated as having" is the same as having. So yes counter tactics can be used to ignore the effects of "stealth" (not shrouded though).
