(#1):Serpent Shield Timing:
Let's say Eldar goes first and Space Marines second. Eldar shoots his shield, then marines drop in to melta the Wave Serpent. Can the eldar player transform the penetration on 2+ if he's already shot the shield that turn?

(#2): Laser Lock:
With the scatter laser. If a unit is able to make all cover saves on the hits from a weapon with laser lock, does the laser lock go into effect anyway? I know it says "hits" in RAW not "wounds." Just curious if it shoots at something in cover that the cover save could potentially negate laser lock?

2)Doesn't matter, laser lock works on a hit, not a wound or failed save.
