I was thinking of using these models: http://www.forgeworld.co.uk/New_Stuff/MK-III-IRON-ARMOUR.html As Sternguard Vets, The old armor would show that there in the 1st company, but would this be legal in a Tournament?

If you give them the correct weps, and maybe do a bit of modeling, these would be fine. Sadly, I think this is another "check with opponent" thing.

I'm just thinking, they look a little different. Maybe take the ammo feed off of a Storm Bolter and place it on the bolter. Or use the new Umbra Pattern guns with the Gears style chainsaws.

Sure. So long as you are not also using those models to represent a different type of unit as well, I have never participated in (or heard of) a tourney whose TO would say no. I am sure there ARE some, but. . . /shrug

Looks good to me! I'm using the old Legion of the Damned models and bits to make my Sternguard and haven't had any complaints. It helps that they look different enough from tactical marines.
How are you planning to do your heavy weapons with these guys? The old 2nd ed shoulder-mounted weapons would probably look pretty good, if you can find them.

Just about al the TOs say you may use ForgeWorld models as long as they are representing a Codex unit..so their should be no problems...may even get a bump up if the TO is scoring modeling/painting and REALLY likes the look of that unique Sternguard squad.

And why wouldn't they be legal? They are Space Marines in power armor. Old, but still power armor.
Give them a Sternguard appropriate Bolter and off you go.

There are no other models for sternguard available. You just need wysiwyg weapons. So if you're using sternguard with plain bolters and special ammo, then you only need to have regular bolters on them. You need some way to differentiate them from other marines. My sternguard just have the studded shoulderpads on both shoulders. I'm sure having a unit with different pattern armor would be fine.

I dont see why not aslong as you only use them as sternguard and no other unit type (to save confusion)
Also, just grab a pack of umbra style bolters for the "special bolters"
They are a nice different design and stand out, and since they arent basic bolters, there should be no complaints.
The ravenguard sternguard squad is nice from FW.
Simply all beaky heads, studded pads and drum mag bolters.

I agree, as long as the weapons are WYSIWYG (a lot of people field SG squads with a bunch of combi-weapons), this should be fine. More than fine, really. The just need to be distinguishable from the regular marines in your army.
