I am looking for a semi-competitive army and I am usually facing up against Lizardmen, WoC and HE so will be playing defensive-shooty then counter-charging enemies that reach my battleline.

Why 40 warriors? Odds are they will lose a few models before getting into combat and will lose the horde rule.

I'd drop the spears and corsairs down to 25, then add some Cold One Knights. If you need to make room toss the dark riders.

I want to avoid taking cold ones because they are always a prime target within my gaming group and they are also stupid.
40 warriors for a very hard block to take on and act as a great anvil, but I could reduce them down to 30 (6x5) and spend the remaining 96 points elsewhere. I want to hang onto the Dark Riders because I have seen fast cavalry used to great effect by friends and opponents and I have never used them before.
Could buy an assassin for 96 points

The simplest place to spend the points is to make the Hag your BSB.

This...the CoB is nice but you really need a BSB.

Other than that I would consider dropping the Dark Riders for a Chariot.

First I think the tome of furion and darkstar cloak are both arcane items which is not allowed.

I personally would drop a few warriors and split the shades into units of 5, make the cauldron your BSB its worth it for 25 points.

It's not a solid list but has the things in it you like and will still perform well enough to win if you play smart.
