Livor Heraldus was always a massive brute of a man. Even as a child he was massive. Growing up on the industrial world of Black Reach, before Waaagh! Zanzag came. Before that, he was a high ranking noble well into his 20s.
When they Ultramarines came, they reconised him as a Leader of men,, and a man possessed of great strength. Upon consulting with his fellow Captains and Lord Maccrage, as well as many other members of the chapter council, Cato Sicarius gave Livor an option of joining the ranks of the Ultramarines. He was a man of great potential. Heraldus accepted without question of coarse.
Because he had long bypassed the age for implantation, Heraldus was instead iven powerful steroids, and had mechanical organs implated. Though not as good as organic implants that SMs have, and completely devoid of geneseed, he was nonetheless gifted with a( rather large) portion of Astartes abilities. However, in order to do so he had to be initiated. he did this by competiong against other SM in feats of strength and speed, contest he would have very little chances of winning. Such contests are common when initiating new recruits.
Heraldus lost every contest, except cage fighting. Upon being thrust into the cage, he found himself face to face with his mentor, Sgt Telion. he immediately began to lose. Torias had him beat at every angle. But even as he lay on the floor, beaten to the point of exhaustion, he became the most deadly thing known to the Imperium. A man with a grudge and nothing to lose.
He stood up, his already massive strength quadrupled by the steroids, ripping the bars from the cage. Wielding a large section in each hand, he went berserk. Not for him the parry and riposte, he was a brawler, a berserker who smashed the life from his enemies. Telion was not his first victim however, and though Sgt Telion defeated him, easily, it must be said, he had earned his place.
His massive bulk, augmented by steroids, did not allow him to wear Power Armour, so he spent a further 20 years training in Terminator armour, progressing throgh his career as Devastator, his suits exoskeleton proving a valuable asset. he struggled as an assault marine, his skills not suited to dueling but to great strugles, with every man fighting for himself. He was known and feared for his clumsy blows, more often than not hitting his own fellows.He eventually progressed, though, to eventually become a Tactical Marine, and then even going on to be a Sgt in that smae squad. His armour allowed him increased durabilioty, not only for himself, but for his brothers as well, as most enemies' weapons, such Krak missiles andvengeance rounds, he took upon himself to recieve the brunt of, shielding his fellows from incoming fire.
Eventually he made it to the 1st company, and was immediately given command of the now leaderless 3rd Squad, a Terminator Assault Squad. he wields a pair of Thunder Hammers, in memory of that day when Sgt Telion, dishonoured him. He still holds that grudge to this day, and has many a time refused point blank, even to Lord Maccrage himself, to go to war alongside him. This results in many disciplinery actions from him, yet still he will not yield, claiming that he will never give in, untill he defeats Telion in single combat. He has challenged him many times, though needless to say he has never succeeded, or even come close, truth be told.
He has remained there ever since, leading his Terminators against the enemies of Mankind, Guilliman and Ultramar as a proof that the Imperium's greatest asset, is man, not Astartes.

Mary Sue or not, the character is not overpowered. In fact, I would suggest a points decrease.
What you're effectively paying +85 points for, is a Sergeant with:
-1 Weapon Skill
+1 Attack (two ccws)
Furious Charge
Rage
Rage is more often than not a disadvantage. Thunder Hammers already make him S8 and I1, so Furious Charge is of negligible benefit. You are also hitting less often (WS3).
So his stats and rules are, in my opinion, rather balanced. His special ability is also not even remotely an advantage. When you are S8(9), what benefit is automatically wounding on a roll of 6? You are already wounding the highest Toughness in the game (T10) on 5+ anyway.
Don't forget the character no longer has a Storm Shield either!
I say make the character a 25pt upgrade. What you're effectively paying for is Furious Charge and +1 Attack with some serious caveats.

Um....he's Mary Sue because
Because he's a non-Space Marine in the 3rd Terminator Squad of the first company who beats people up with metal bars and somehow earned the right to be in the first company despite losing and failing, and I'm quite sure scouts and otherwise those who are pumped full of Steroids aren't Space Marines, just some strong guy in power armour. The rules seem fine but god the fluff makes Matt Ward somewhat less ridiculous as a writer.

His inspiration for just steroids is taken from Lorgar's adoptive father, Kor Phaeron.
He lost the contest, as expect but was still allowed to join. Many initiates are initiated this way. Victory ensures joining, but near victory is just as good.
He rose though the tanks ss any other does. He didn't just join the Vets.
Fluff aside, cause I don't care about his fluff.Its just justification. How are the rules?

The Rules are fine, as I stated this is a good upgrade or independent character.
Also, my gripe is that he's not a Space Marine, but is somehow allowed to be in the first company.
Its like giving a serf terminator armour and drugs and saying "Your a space marine now!"

I agree. Aside from the Grey Knights, Terminator Armor is supposed to be somewhat hard to come by for other chapters, I don't see them letting a non battle-brother not only have a set of their armor, but leading a squad in 1st company.

If the bootfits wear it. Meaning, if he is better suited to leading a squad than another, even a space marine, then, by all rights, shouldn't he lead the squad. Besides, he wouldn't fit in Power Armour, and I doubt the Ultramarines are a Chapter that can field a maximum of a dozen Terminators. They could probably outfit their entire first company, almost all of the Captains and officers, Calgar, and a good portion of the Honour Guard too if need arises.

In all honesty Deadshot, I've not been a fan of almost all your proposed rules - and fluff - this one included. I don't mean that offensively, just honestly...
This character is worse (IMHO) than a usual Assault Terminator Sergeant.
You lose a point of WS, and a 3++ invulnerable save, gaining a single real positive of +1 attack and Furious Charge (limited effect) for just him.
However, you also gain Rage for the entire squad and he's liable to hit his own models (in a loyalist - Ultramarine 1st Company no less - Chapter). That he can automatically wound an enemy has very little effect considering he'll be wounding on a 2+ most of the time.
I really think his negatives far outweigh the advantages, rules-wise.
Again, I don't mean this offensively, but I think it's really poor rules-design. I would offer constructive criticism, but I don't think it's a good concept in fluff either...

These are Space Marines you're talking about- to quote the TvTropes Gaunt's Ghosts page, they "exemplify Honour before Reason".
They don't have nearly as many as you think. Otherwise, why do you get veterans painted up Ultramarine? Why is there no honour guard TDA option? Why does Sicarius not wear armour? Why not Ventris? Et cetera, et cetera.
Oh, and one more thing- a human couldn't move in SM-type power armour. Even the bulkiest, on powerful steroids, would be stuck in one place in TDA.

This. Space Marine Power Armor (and TDA) requires the Black Carapace to work, which is a Space Marine mutation. Normal humans can't wear it. Non-astartes, non-sororitas power armor is stupidly rare, and something that a Space marine chapter would have zero use for.
Your fluff is ... less than polished, and seems poorly researched. Have you read the background on how Space Marines are made? This guy isn't a space marine, and as such would not be given the sorts of responsibilities you wrote about. He doesn't fit into the Astartes command structure at all, except as a subordinate in some capacity.
This character is, at best, a mix between a chapter serf and a permanent scout . He could be an interesting upgrade character for a squad of SM scouts if you dropped the TDA and put him in carapace armor, dropped rage, and even dropped the poorly modified rule cribbed from Kharn the Betrayer. Essentially, if he were a Scout squad sergeant in carapace armor with two thunderhammers and Furious Charge, he could be a quirky but fun character. I'd actually hesitate making him a replacement for the sergeant (because what you've described is neither a skilled veteran nor a leader of any kind), and simply make him a replacement for one of the other members of the squad.

Just an idea for fluff revisions I had when I saw someone mention uriel ventris. If I recall correctly, Sergeant Passanius was so big, that they had to make some sort of terminator/power armor conglomerate to fit him, although he can move in it just as easily as a Space marine might move in regular armor.
In other words, make him a Space Marine, but add in something about a mishap/mutation in his transformation surgeries from human to superhuman. Blank organ failed/overacted, causing blank.
Also, perhaps the reason not every veteran and his captain wear TDA is because of its bulkiness and reduced movement capability. But maybe not.
And for rules revisions, I almost want to say make him a Marbo-ish character. A lone wolf with two hammers sent to destroy enemies who have caused dishonor to the Ultramarines.
But its your character.

... so they can technically make it to fit many different people with different builds.
that said, I don't believe the Ultramarine would do it. someone needs to decide it's worth it and there is "No way would ANY"ONE on Ultramar to be willing to give him the suit over the typical candidates. ship him off to another planet.
